Argos Soditic to buy four Sage subsidiaries
Mid-cap GP Argos Soditic has entered exclusive negotiations with Sage Group regarding the acquisition of four of its software-focused subsidiaries in France and Spain.
Argos Soditic made an offer to buy Sage subsidiaries C&I, ATL and SPC in France and Aytos in Spain for a total consideration of €33.2m, of which €27.2m is payable in cash on completion.
The deal will be done through a single newco and is still under a conditional letter of intent. The sale notably requires prior approval from the French works council.
Sage is selling the businesses as they are no longer deemed to be part of its core strategy. The four subsidiaries all develop and sell software products with focus on specific markets including social housing, local authorities, real-estate, car retail, transportation, logistics and the food industry.
The Sage Group is a listed provider of business management software to small- and medium-sized companies. The group is headquartered in the UK.
