Montagu buys Kodak's flexographic packaging arm for <$390m
Montagu Private Equity has agreed to carve out the US-headquartered flexographic packaging business of The Eastman Kodak Company in a deal worth up to $390m.
The transaction comprises an initial payment of $340m, potential earn-out payments of up to $35m, and a $15m prepayment for various services and products to be provided by Kodak.
According to Montagu's website, the deal marks the GP's first investment in a US-headquartered business. It comes shortly after Bridgepoint became the latest in a string of UK-based fund managers to open an office in the US, in part to ramp up investments in companies headquartered in the country.
Following the deal, the company will operate as an as-yet unnamed standalone entity – though it will retain the same organisational structure and management team – and will invest in product development.
The division's thermal imaging film product Kodak Flexcel NX is used in the manufacturing of customised printed packaging materials across 70 countries.
The transaction is expected to complete in H1 2019, subject to regulatory approval.
