Main Mezzanine Capital backs The Valley's MBO
Main Mezzanine Capital (MMC) has provided Dutch marketing and communications agency The Valley with a new mezzanine loan, backing the company's MBO.
The Valley's management team, formed by Philip Kok, Auke Meijer and Brian Oostenbrink, have completed the MBO of the company with the help of MMC. As a result of the transaction, they will own 100% of the company's shares.
Main Corporate Finance took the lead in the deal, negotiating the price and arranging debt financing. The debt package includes a buyout loan and a working capital facility provided by ING, in addition to Main's subordinated loan.
The first mezzanine loan, provided by MMC to support the company's growth in 2015, has now been fully repaid, the lender said.

Company
The Valley is an Amsterdam-based marketing and communications agency working around brand strategy, data and user experience. It develops apps, websites, advertising campaigns, e-commerce platforms and branding.
Customers include brands such as Nike, Tommy Hilfiger, Renault, Calvin Klein and others. The company currently employs around 60 people and has revenues of around €8m, the majority of which is generated by customer relationship management, data and technology products.
