Ergon sells Nicotra Gebhardt to US company Regal Beloit
Ergon Capital has sold Nicotra Gebhardt, an Italian producer of fans and air conditioning systems, to US electric motors and power transmission products manufacturer Regal Beloit for €125m.
Industrie CBI, another Italian manufacturer of fans and ventilators, which became part of the Nicotra Gebhardt group after it was acquired by Ergon Capital in 2013, was not included in the scope of the transaction.
Following the acquisition, Nicotra Gebhardt will expand its geographic exposure and add to Regal's offering of energy-efficient solutions.
Ergon had mandated RW Baird to organise its exit, according to Unquote sister publication Mergermarket.
The transaction is expected to close by the end of Q2 2018.
Previous funding
The deal ends a 10-year holding period for Ergon, which acquired the company in 2008 from Italian private equity firm Fidia, using Ergon Capital Partners II, a buyout fund launched in December 2006 with a €500m target. The vehicle invests in European companies with a turnover between €50-500m.
Company
Founded in 2005 through the merger of Italy-based Nicotra and German centrifugal fans producer Gebhardt, and headquartered in Bergamo, near Milan, the company specialises in manufacturing fans, ventilators and air conditioning systems for commercial and industrial buildings. Nicotra Gebhardt employs 750 staff and has production facilities in Italy, Germany, Spain, the Middle East, India, China, Thailand and Malaysia. In 2017, the company recorded revenues of approximately €122m.
