Graphite Capital explores YSC Consulting exit
YSC Consultingтs private equity backer Graphite Capital is exploring an exit from the UK-based consultancy, having hired William Blair to oversee an ongoing auction, three sources familiar with the situation said.
The asset is being marketed off annual EBITDA in the region of GBP 12m, according to all three sources. Information memoranda has been distributed to suitors and prospective lenders, the first source noted.
The sellside advisor is targeting a teens EBITDA valuation multiple, according to the first source. Accordingly, prospective lenders are expected to offer adequate leverage that would enable sponsors to stretch to meet the vendor's price expectation, this source added.
Graphite acquired YSC in 2017 from Living Bridge, YSC's former private equity owner, in a deal worth GBP 72m.
Headquartered in London, YSC is a provider of leadership strategy consulting and management assessment services. The firm has 18 offices worldwide, employing 100 consultants and a network of associates who provide flexibility and scalability to clients, according to Graphite's website. Nearly 60% of its clients are in the FTSE 350 or Fortune 500. Corporate clients include BP, Diageo, Facebook, gsk, HSBC, PayPal, Gilead and Microsoft.
Graphite declined to comment. William Blair did not respond to a request for comment.
