UK/GERMANY - Sophos to acquire Utimaco
TA Associates-backed Sophos plc intends to acquire German data security solutions company Utimaco Safeware AG for EUR 217m.
Utimaco is a portfolio company of Investcorp Technology Partners, which acquired a 24.99% stake in the business earlier this year. Sophos will also acquire Investcorp's stake. The offer of EUR 14.75 per Utimaco share represents a 92% premium on the latest closing price of EUR 7.68. The acceptance period is expected to start in August and completion is expected in October 2008. Utimaco is listed on the Frankfurt stock exchange and reported revenues of EUR 55.9m and EBITDA of EUR 11.1m in the year ending March 2008.
