
Enterprise Investors to carve out Software Mind from Ailleron
Polish private equity firm Enterprise Investors (EI) is to acquire a majority stake in Warsaw-based company Software Mind for €25m from listed company Ailleron.
The GP will deploy equity from Polish Enterprise Fund VIII, which held a first and final close on €498m in September 2017. The vehicle focuses on mid-market buyouts and growth companies in Poland and the wider CEE region.
The transaction will consist of a €9m buyout of 26.7% of Software Mind shares from Ailleron and a €16m capital increase, raising the GP's stake to 50.2%.
Rafał Bator, partner at EI, said he plans to grow the company "exponentially", by gaining new competencies and markets, and through a buy-and-build strategy.
The deal is subject to approval at Ailleron's extraordinary general meeting.

Founded in 1999 and based in Warsaw, Software Mind develops software for finance and technology companies.
It operates from four offices in Poland, in Kraków, Rzeszów, Warsaw and Bielsko-Biała, and employs 370 staff.
The company generated sales of €15m in the first nine months of 2020.
