Halder buys Sirag, Univer and Uniprod
Halder has acquired majority stakes in pneumatics and process technology companies Sirag, Univer and Uniprod, integrating them into its portfolio companies Drumag and EPH to expand the Valeta Group.
The GP said in a statement that Univer partner and chairman Othmar Seiler will lead the three newly acquired companies in the overall group. For Sirag and Uniprod, the acquisition by Halder has been undertaken as part of a management succession solution, according to the statement.
Adrian Emch, chairman of Sirag and Uniprod, will retain a stake in the business and will continue as an adviser to the group.
Halder deployed equity from Halder VI, which held a final close in January 2019. The fund invests in SMEs in the DACH region with a turnover of €10-250m.
"We acquired the new group of companies via capital from Fund VI, and via financing from LGT," Philipp Scheier, partner at Halder, told Unquote. "We increased the facility and added additional equity from Halder VI."
Halder bought a majority stake in Drumag Fluidtechnik and EPH Elektronik in September 2019, also investing from Halder VI. Debt fund LGT provided financing for the transaction. Scheier explained the GP's strategy: "We are following a buy-and-build strategy; we want to make a roll-up in the automation, process technology and motion technology markets."
Scheier added that the add-on acquisitions will do more than just expand Valeta's product and service offering: "In this context, we have also expanded the geographic footprint – we had a small footprint in Switzerland already, but now we are getting a broader coverage of the Swiss market."
"We are continuously screening the market and have an extensive list of potential add-on targets, but there is nothing tangible on the table for now," he added.
Company
Valeta Group will have revenues of €37m and a headcount of 200, taking into account the incorporated companies. The group had a headcount of around 150 and generated revenues of approximately €22m prior to the latest acquisitions. Sirag, Univer and Uniprod are based in Steinhausen, Switzerland, and Valeta will now have operations in Germany, Switzerland and Lithuania.
The company will specialise in pneumatics, hydraulics, hydropneumatics, electromechanics and electronics. Its client base includes companies from the fields of mechanical and plant engineering, aviation and medical technology.
