Investindustrial's SPAC trades on NYSE
Investindustrial Acquisition Corporation, a special purpose acquisition company (SPAC) launched by Investindustrial, has been listed on the New York Stock Exchange.
The initial public offering comprises 35,000,000 units at a price of $10.00 apiece. Each unit consists of one class A ordinary share and one-third of one redeemable warrant.
Investindustrial Fund VII has also entered into a purchase agreement with the company, for an investment of up to $250m, for the purchase of up to 25,000,000 forward purchase shares at the price of $10.00 apiece. This investment would close concurrently with the closing of the initial business combination.
Investindustrial Acquisition Corporation has been established with the purpose of performing a merger, share exchange, asset acquisition, share purchase, reorganisation or business combination with one or more businesses.
The company plans to acquire businesses with enterprise values in the range of $1-5bn, with a focus on the consumer, healthcare, industrial and technology sectors. It will predominantly target Europe-based companies.
The offering is expected to close on 23 November, subject to customary closing conditions.
Deutsche Bank Securities is acting as lead-left bookrunner and Goldman Sachs as joint bookrunning manager for the offering.
