The Bolt-ons Digest is a compilation put together by Unquote with the main add-on deals announced by PE-backed companies in Europe over the last few days.
Business services
Holland Capital’s AMP Group, a Dutch medical and valuable assets logistics provider, has acquired Omega Logistics, a local specialist in medical logistics. The bolt-on is AMP’s second following Delta Logistics, which specialises in refrigerated pharma products in December 2021. Holland Capital acquired the company in October 2020 via Holland Capital Growth And Buyout Fund IV.
WestBridge’s APEM Group, a UK-based environmental consultancy, has acquired local peer GoBe Consultants, which specialises in offshore wind. The bolt-on is APEM’s third in less than a year and its biggest to date, according to a statement. The group has quadrupled its EBITDA to GBP 8m under WestBridge’s ownership. The GP acquired APEM in March 2019 via WestBridge SME Fund II for GBP 9.8m.
Livingbridge’s FluidOne, a British provider of data connectivity services, has acquired local peer Marathon, which focuses on Cloud services. The bolt-on is FluidOne’s fourth under the GP’s ownership. Livingbridge acquired FluidOne in February 2019 via Livingbridge 6.
FSN Capital’s OptiGroup, a Swedish B2B distribution group, has acquired Norweigian peer MaskeGruppen, which distributes facility supplies, healthcare products and industrial packaging. The GP signalled that it wants to IPO the company in 3-4 years in a statement. FSN acquired OptiGroup in December 2021 via FSN Capital VI.
Healthcare
Triton’s Kinios, a German chain of specialised orthopaedics, has acquired four separate orthopaedic clinics, meaning it now operates across 14 locations. Kinios is part of TMVZ, which also owns other German specialised outpatient groups. TMVZ is a roll-up under the Triton Smaller Mid-Cap Fund II, which started in December 2020.
CVC’s Mehiläinen, a Finnish outpatient and occupational healthcare provider, has acquired Tutoris, a local rehabilitation services provider with EUR 19.2m turnover. CVC acquired Mehilainen in May 2018 via CVC Capital Partners VII.
Limerston Capital’s Wickham Micro, a British contract testing laboratory, has acquired local medical device testing laboratory Medical Engineering Technologies (MET). Limerston acquired Wickham Micro in February 2020 via Limerston Capital I.
Technology and software
Tenzing’s CitNOW, a UK-based software company serving car dealerships, has acquired Web1on1, a Dutch automotive messaging platform. The bolt-on is CitNOW’s fifth, following three in the UK and one in the US. Tenzing acquired CitNOW in March 2018 via Tenzing Private Equity I and tapped Raymond James for an exit earlier this year, as reported by Unquote sister publication Mergermarket.
Keensight Capital’s Smile Group, a French open-source consultancy, has acquired Creativestyle, a German e-commerce agency, as part of a plan to improve the group’s geographic coverage. Keensight acquired Smile in July 2019 via Keensight Capital V.
AnaCap’s Gestión Tributaria Territorial (GTT), a Spanish tax software developer, has acquired the electronics administrations division of local software company Meana Group. AnaCap acquired GTT in July 2020 via AnaCap Financial Partners III for around EUR 120m.
Main Capital’s Zig, a Dutch software developer for housing and real estate, has acquired Skarp, a local business intelligence provider in the same sector. It is Zig’s first bolt-on under Main’s ownership, after the sponsor acquired the company in November 2021.
Main Capital’s Textkernel, a Dutch provider of AI HR solutions, has acquired Akyla, which has software to support flex workers. It is Textkernel’s second bolt-on following US peer Sovren. Main Capital acquired Textkernel in September 2020 via Main Capital VI.
Industrials
Cairngorm Capital’s Independent Builders Merchant Group (IBMG), a British building materials distributor, has acquired local peers Independent Roofing Supplies and Wantage Builders Merchants in two separate bolt-ons. The GP has rolled up more than 12 property materials suppliers — it first invested in IBMG in March 2018 via Cairngorm Capital II.
Nordic Capital’s Sortera, a Swedish construction waste processor, has acquired O’Donovan Waste Disposal, a British peer with around GBP 16m in sales. The bolt-on is Sortera’s first in the UK and creates a company with more than SEK 2bn (EUR 188m) revenue. Nordic Capital acquired Sortera in March 2021 via Nordic Capital Fund X.
Consumer
Vitruvian’s Sykes Holiday Cottages, a British cottage rental agency, has acquired UKcaravans4hire, a static caravan rental platform. The group is on track to deliver GBP 170m-revenue in 2022. Vitruvian acquired Sykes in October 2019 via Vitruvian Investment Partnership III with Livingbridge re-investing as a minority partner six months later.
Basic resources
Ambienta’s Cap Vert, a French green space manager, has acquired Createck and Caussat, two local groups specialised in the creation and maintenance of green spaces. Ambienta acquired Cap Vert in December 2021 via Ambienta III.
