ITALY - BSPE-backed Mediacontech acquires 51% of Deltatre Group
BS Private Equity portfolio company Mediacontech has signed an agreement for the acquisition of 51% of Delta Tre Informatica and Deltatre Suisse (“Delta Tre Group”).
Delta Tre Group was controlled by its founding partners, Luca Marini e Giampiero Rinaudo. The acquisition was originated by direct contacts between the company’s management and Mediacontech.
The enterprise value was agreed on a range between €71.3m and €82.9m, depending on the company performance in the 2008-2012 period, and will be financed by a €20m debt facility provided to Mediacontech by Intesa Sanpaolo and by a €20m share capital increase. The enterprise value multiples on 2007 financials were the following: EV/Sales 2.6x-3.1x, EV/EBITDA 8.9x-10.4x, EV/EBIT 10.2x-11.9x.
The transaction, in line with Mediacontech’s development strategy in content creation and media management, has been approved by the Board of Directors of Mediacontech It remains subject to anti-trust approval and to legal due diligence. Delta Tre Group reported 2007 sales of €27.1m and an EBITDA of €8.0m.
The privately held Italian and Suisse companies are active in the information technology and contents & data management for sports and entertainment.
